IonQ (NYSE: IONQ) has completed its all-stock acquisition of cybersecurity provider Elisity, Inc. for $1.15 billion at closing, with an earnout structure that can add up to $150 million based on revenue milestones through January 2028 and a $100 million RSU retention pool for Elisity staff. The deal unites Elisity’s IdentityGraph microsegmentation platform with IonQ’s post-quantum cryptography (PQC) and quantum key distribution (QKD) roadmap, creating an integrated Zero Trust + PQC + QKD architecture that pairs real-time breach containment with quantum-resistant key generation and data encryption. Elisity will operate as a wholly owned subsidiary, with CEO James Winebrenner continuing to lead the unit and existing customer SLAs remaining unchanged. The combined offering targets over 100 active enterprise deployments across Fortune 500 firms, healthcare networks and defense agencies, positioning IonQ for near-term corporate IT security budgets and long-term “Harvest Now, Decrypt Later” risk mitigation. 1
